Position Overview
Reporting to theCEO, the Vice President - Legal will be involved with legal affairs of the company. He/She will assist in managing the legal aspects of the day-to-day and running of the business, which includes partner agreements, regulatory affairs, risk mitigation, and will provide advice and guidance to management.

Accountabilities

  • Manages the development of legal strategies for local or regional senior management, including leading high value/risk commercial transactions and program review, drafting, and negotiation.
  • Develops and recommends innovative process improvements to effectively address business needs of an aligned country or region.
  • Identifies and resolves highly complex local/regional legal, regulatory, and business issues.
  • Manages legal responsibilities for multiple client organizations with divergent priorities and needs.
  • Leads complex, multidimensional projects or transactions.
  • May act as sole country counsel; serves as the primary legal contact for local or regional management and coordinates activity with corporate, regional, and other country resources.
  • Acts as a master of the local/regional environment by advising on complex laws and regulations and their implications for the local/regional operations/businesses.
  • Provides strategic legal counselling to management at a country, region, or business unit level.
  • May provide specialized legal expertise in one or more areas of strategic importance or having a significant impact on Kallo's revenue or risk level.
  • Identify any non-commercial legal exposures in various areas of business to implement appropriate countermeasures for them
  • Plan, design, and deliver compliance training to employees or partners regarding Code of Conduct, anti-corruption and other legal requirements specific to certain areas of the business.
  • Localize, draft, review and implement various corporate rules and policies to assure employees’ compliance with them.
  • Handle any legal disputes regarding labour and employment, procurement and other non-commercial matters.
  • Securities.
  • Plan, coordinate and manage board & shareholders meetings.
  • Localize, draft, review, negotiate and execute various non-commercial contracts including procurement and facilities.
  • Assist HQ intellectual property team and outside counsel to register the Company’s intellectual property or otherwise take appropriate measures to protect it.
  • Work with board members, employee success (HR), finance, marketing and other business functions as well as global corporate legal team and outside counsel.
  • Mergers & Acquisitions.
  • Work directly with external counsel and the executive team in executing the company’s transactions from due diligence to closing.
  • Ensure compliance and optimal risk management in all deals.
  • Coordinate accurate, timely flow of document production among all parties.
  • Develop legal and tax structures for new acquisitions and partnerships with internal and external advisors.
  • Participate in legal debriefing sessions with accounting management and other interested parties following acquisitions or new projects.
  • Help to clarify roles and responsibilities, develop and implement training programs in order to maximize and reach optimal individual and organizational goals.
  • Provide leadership to staff at all levels throughout the organization; create and promote a positive and supportive work environment.

Key Deliverables during First 12 to 24 Months

  • Develop Legalstrategy and project plan for each of the first 3 years.
  • Provide support to CEO and senior leadership team membersin different countries in which Kallo does business.
  • Provide legal support for contract strategy and negotiation for Major Accounts, including government contracts in countries in various international locations.
  • Provide oversight and consult on a wide array of topics relating to the customer segment needs, such as legal risk mitigation, customer relationship management and retention, and strategic initiatives and service offerings.
  • Establish appropriate policies and procedures, and ensure compliance with Global Legal Practices and Standards.
  • Provide day-to-day legal support to all areas of the business.
  • Draft, review and assist in negotiating a wide variety of client and vendor contracts.
  • Work with and control outside legal counsel.
  • Intellectual Property –assist with the general management of the company’s trademarks, patents and other intellectual property.
  • Litigation – working in concert with external counsel to manage all of the company’s litigation and disputes.
  • Regulatory affairs.

Qualifications and Requirements

  • Advanced university degree in law (e.g. JD or LLB) is required plus must have active bar membership in Ontario.
  • 10+ years commercial legal experience in a senior Legal management position, preferably in the Healthcare or Technology sector.
  • Significant experience managing multiple, complex, strategic, specialty law projects, issues, and transactions.
  • At least 6 – 10 years of relevant contract negotiation and management experience.
  • Broad and deep knowledge of local/regional laws, regulations, policies, and procedures.
  • Developed awareness of how to operate successfully in multiple international legal environments.
  • Mastery in negotiating or advising senior representatives of external and internal organizations on complex and high value/risk matters.
  • Advanced breadth and depth of practical legal and relevant business knowledge.
  • Subject matter expertise on key legal topics including liability, indemnities, intellectual property and privacy / data protection.
  • Awareness of the domestic and international legal environment.
  • Advanced skills and experience in negotiating or advising on complex or high value/risk matters or in specific practice areas.
  • Demonstrated knowledge and judgment about legal and commercial issues in transactions; knowledge and judgment about prevailing market standards in the Healthcare &/or IT industry.
  • National and international experience leading deals and dispute resolution in this industry.
  • Ability to work with field offices considering cross-cultural sensitivities and respect at all times.
  • Mastery of legal and relevant business knowledge in multiple practices areas in a country/region.
  • Proactive and effective communicator of valuable information to clients and colleagues.
  • Excellent presentation and facilitation skills.
  • Ability to work effectively in teams and independently; demonstrating initiative and creativity when solving problems.
  • Proven experience to lead in the achievement of results.
  • Good logical, interpersonal, written and oral communication abilities with a strong attention to detail.
  • Strong execution ability, with an energetic ‘can-do’ team player attitude, and an ability to drive and manage change is important.
  • Travel will be required to customer sites and Kallo office locations.
